Terms of Service

1. Acceptance of Terms

By downloading, installing, purchasing, or using the ScribeFlux PRO software application ("Software") or visiting scribeflux.app ("Website"), you agree to be bound by these Terms of Service. If you do not agree, do not install or use the Software.

2. License Grant & Permitted Use

Subject to these Terms and timely payment of applicable fees:

Free Tier: Granted a non-exclusive, non-transferable license to use the Tiny and Base Whisper models for personal or commercial transcription tasks on any local machine.
PRO Tiers (Monthly, Annual, Lifetime): Granted a non-exclusive license to unlock high-accuracy models (Small, Medium, Large-v3, Large-v3-Turbo), GPU hardware acceleration (NVIDIA CUDA & Apple Metal), AI Assistant meeting summaries, direct microphone recording, karaoke subtitle synchronization, multi-format exports (.DOCX, .PDF, .SRT, .VTT), and unlimited batch processing.
Device Allowances per Tier:
- Solo Tier: 1 active device (Windows or macOS).
- Personal Tier: Up to 3 active devices belonging to the licensee.
- Family Tier: Up to 5 active devices.
- Team / Studio Tier: Up to 10 active devices within the licensee's studio or team.
- Enterprise Unlimited Tier: Unlimited active devices across the licensee organization.
Device Management & Transferability: Licenses may be transferred between machines by deactivating an existing machine in the application settings, freeing up a seat for a new device. Sharing license keys publicly or across unauthorized third parties is strictly prohibited.

3. Merchant of Record & Billing

Our order process is conducted by our online reseller and Merchant of Record, Paddle.com Inc. / Paddle Payments Ltd., who handles order-related inquiries, returns, and taxes. When purchasing ScribeFlux PRO, you enter into a transaction directly with Paddle.

Subscriptions (Monthly $2.99 – $39.00 / Annual $12.99 – $149.00): Automatically renew at the end of each billing cycle unless cancelled prior to renewal in your Paddle subscription management portal or by contacting support. Cancellation halts future billings while keeping PRO benefits active through the end of the paid period.
Lifetime Licenses ($24.99 – $299.00): Billed once as a single upfront charge. No recurring fees or subscriptions. Grants perpetual usage of ScribeFlux PRO for the purchased seat allowance, including all minor and major updates within the current product cycle.

4. Software Ownership & Open Source Components

ScribeFlux PRO UI, custom wrappers, and architecture are proprietary. ScribeFlux incorporates high-performance open-source libraries, including ffmpeg (LGPL/GPL) and whisper.cpp (MIT License by Georgi Gerganov). OpenAI Whisper model weights are provided under the MIT License.

5. Disclaimer of Warranties & Limitation of Liability

The Software is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, either express or implied. In no event shall ScribeFlux or its contributors be liable for any indirect, incidental, or consequential damages resulting from the use or inability to use the Software.

6. Termination

We reserve the right to revoke or suspend license keys in cases of fraudulent payment chargebacks, unauthorized key redistribution, or piracy. You may terminate this agreement at any time by uninstalling the Software.
